Terms of Service

These terms form a binding agreement between Zyntem("we", "us") and the business entity that opens an account ("Customer", "you"). By creating an account, generating an API key, or submitting a fiscal document to the service, you accept these terms.
1. Service description
Zyntem is a developer platform that signs, validates, and submits fiscal documents to supported European tax authorities (currently Spain, Italy, France, and Portugal). The service is provided via a REST API, WebSocket stream for receipts, and native SDKs for in-process use.
2. Accounts and API keys
You are responsible for maintaining the confidentiality of your credentials and API keys, for all activity performed with them, and for configuring appropriate role-based access inside your organization. We may suspend keys that show signs of compromise.
3. Acceptable use
- No submitting documents you are not legally authorized to file on behalf of the underlying merchant.
- No probing, reverse-engineering rate limits, or bypassing tenant isolation.
- No use in sanctioned jurisdictions or by sanctioned parties.
We may throttle, suspend, or terminate accounts that breach these rules.
4. API usage limits and fair use
Each subscription tier includes a baseline of API calls, concurrent connections, and stored locations as set out on the pricing page. Sustained use in excess of the tier limits may be rate-limited (HTTP 429) or attract overage charges as defined in your order form. Burst traffic is permitted within a rolling window; we do not penalize short spikes that are reasonable for the Customer's business.
We ask Customers not to use the service to load-test the API, to replay historic submissions in bulk outside of a documented migration, or to generate synthetic traffic purely to exhaust quota. If you need elevated limits or a dedicated capacity window, contact support to arrange it in advance.
5. Fees and billing
Subscriptions are billed monthly or annually per location, in EUR, in advance. Fees are non-refundable except where required by law. Taxes (including VAT) are added where applicable.
6. Service levels
Availability targets depend on the subscription tier (Starter: best effort; Growth: 99.9%; Scale and Enterprise: 99.95% or custom). SLA credits, measurement methodology, and exclusions are defined in the Service Level Addendum referenced by your order form.
7. Confidentiality
Each party will protect the other's confidential information using at least the same care it uses for its own, and will not disclose it except to personnel and sub-processors bound by equivalent obligations.
8. Warranties and disclaimer
The service is warranted to materially conform to the documentation. Except for that warranty and anything that cannot be excluded under mandatory law, the service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, special, consequential, or punitive damages. Each party's aggregate liability under these terms is limited to the fees paid by Customer in the 12 months preceding the event giving rise to the claim. Nothing in this section limits liability for willful misconduct, fraud, or amounts that cannot be excluded under applicable law.
10. Termination
Either party may terminate for material breach on 30 days' written notice if the breach is not cured. On termination we will make transaction data available for export for 30 days. We may retain fiscally-mandated submission evidence for the statutory retention period.
11. Governing law
These terms are governed by the laws of Spain, without regard to conflict-of-law principles. Mandatory consumer-protection rules of the customer's jurisdiction remain unaffected where they apply.
12. Changes
We may update these terms from time to time. Material changes will be announced by email and take effect no sooner than 30 days after notice unless otherwise stated. Continued use after the effective date constitutes acceptance.
